These terms govern your use of Clipsourced. They are meant to be clear about the two things that matter most: you own your content, and you are responsible for what you publish.
This is an agreement between you (and, if you are signing up for an organisation, that organisation) and Ravinaro (registered entity details available on request from privacy@ravinaro.com) — "we", "us". By creating an account, joining a workspace, or using Clipsourced, you accept these terms and our Privacy Policy. If you are accepting on behalf of an organisation, you confirm you are authorised to bind it.
You must be at least 18 and legally able to enter a contract.
Clipsourced analyses publicly available social posts, proposes content ideas that cite a real source post, helps produce assets for them, and publishes or schedules approved posts to social accounts you connect. Features change over time; we may add, alter or withdraw them.
You must not use Clipsourced to:
You are responsible for the accuracy and legality of everything published from your workspace, including any regulated or advertising disclosure a post requires.
Instagram, LinkedIn, TikTok and any other destination are independent services with their own terms. When you connect one you authorise us to act on your behalf within the permissions you approved, and you must keep complying with that platform's rules.
We are not responsible for a platform changing its API, rejecting a post, rate limiting you, restricting reach, or suspending your account. Some capabilities are limited until a platform completes its own review of our application — for example, posts may be visible only to the posting account until that review passes. We will tell you what we know, but the decision is theirs, not ours.
You keep ownership of your content — what you upload, what you write, and the assets generated for your workspace at your direction. You grant us a non-exclusive, worldwide, royalty-free licence to host, process, transmit, adapt and display that content for the sole purpose of operating the service for you. That licence ends when the content is deleted, except for backups still ageing out.
We keep ownership of Clipsourced itself — the software, models of how it works, interface and documentation. Nothing here transfers it to you.
Public posts we analyse remain the property of their authors. We use them as cited evidence for ideas, and we do not grant you rights to republish anyone else's content. If an idea points at a source post, that is a reference for you to be inspired by, not a licence to copy it.
We do not promise reach, followers, engagement, leads, revenue, ranking, or that any post will perform like the source post it cites. Evidence-based ideas improve the odds; they are not a forecast.
You can stop using the service and delete your workspace at any time. We may suspend or terminate access if you materially breach these terms, if your use puts the service, another customer or a connected platform at risk, if we are required to by law or a platform, or if fees go unpaid. Where it is reasonable and lawful we will warn you first and give you a chance to fix it. On termination you can export your data for 30 days, after which we may delete it.
Except as required by mandatory UAE law, the service is provided as is and as available, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability or error-free operation. Statutory remedies that cannot be excluded are preserved.
To the maximum extent permitted by law:
Nothing here excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by negligence.
If you use Clipsourced for a business, you will indemnify us against claims, damages, liabilities, costs and reasonable legal fees arising from your content, anything published from your workspace, your breach of these terms or of a connected platform's terms, or your infringement of a third party's rights. This does not apply to consumers beyond wilful unlawful acts, to the extent the law requires.
These terms are governed by the laws of the United Arab Emirates. The courts of Dubai have exclusive jurisdiction, subject to any mandatory rules that protect consumers in their home country. Before starting proceedings, please raise the problem with support@ravinaro.com — most things are faster to fix than to litigate.
We may update these terms. For material changes we will update the date above and notify account holders by email before they take effect; continuing to use the service after that means you accept them. Notices to you may be sent to the email on your account. Notices to us go to support@ravinaro.com.
If any provision is held unenforceable, the rest stands. Our not enforcing a right is not a waiver of it. You may not assign this agreement without our consent; we may assign it as part of a reorganisation or sale.
